CONTRACT

Article 1

Subject Matter

1.1 Under the conditions hereof, Producer shall create a software for maintaining records about the stock of approx. 800,000 kinds of products to be used by 6 workplaces connected via a network. The software must be suitable to be used by attendants with average knowledge of simple computer operations.

1.2 Client shall deliver to Producer within 10 days of the execution date hereof a list of requirements for the software.

1.3 Producer shall recommend to Client what hardware to acquire for the software. After the hardware is delivered to Client's seat of business, Producer shall install it together with installation of the software. Furthermore, Producer shall train Client's employees in operating the software. Producer shall also deliver 20 copies of a well-arranged manual of use for the software.

1.4 The work is deemed delivered after the software was installed, fully meeting Client's requirement, in computers, tested, Client's employees trained and a brief manual submitted.

1.5 An Acceptance Protocol shall be issued about delivery of the software, signed by both Parties hereto, in particular by Mr. ......... for Client and by ......... for Producer.

Article 2

Term of Performance

The subject matter hereof - the software for stock records - shall be delivered to Client within 3 months of the date of delivery of Client's requirements for the software. This period includes also the time needed for training of Client's employees in using the software.

Article 3

Price

3.1 The price of the subject-matter hereof is CZK 100,000 (in words: one hundred thousand Czech Crowns) + VAT at the applicable rate. This price includes the testing of the software, training of Client's employees, and delivery of a manual.

3.2 Client shall make an advance payment of CZK 40,000 (in words: forty thousand Czech Crowns) to be paid to Producer's account opened with…
